Terms of Service

These Terms of Service (“Terms”) govern your access to the DineNodo website and any trial or paid services we provide under a separate agreement. Read them carefully and obtain legal advice if needed.

1. Agreement

By using the site or signing an order form, you agree to these Terms and to our Privacy Policy. If you use the services on behalf of an organization, you represent that you have authority to bind that organization.

2. Services

Descriptions on this site are illustrative. The scope, fees, and service levels for production use are defined in your order, statement of work, or master agreement.

3. Acceptable use

You will not misuse the services: no unlawful activity, no interference with security or performance, no scraping beyond reasonable indexing permitted by robots.txt, and no attempt to access data you are not authorized to view.

4. Accounts

You are responsible for credentials and activity under your accounts. Notify us promptly of unauthorized use.

5. Intellectual property

DineNodo retains rights to its software, branding, and content. You retain rights to your data. Limited license grants are set out in your service agreement.

6. Confidentiality and data

Each party will protect the other’s confidential information. Processing of personal data is described in the Privacy Policy and any data processing agreement you sign.

7. Disclaimers

Except where prohibited by law, the site and any trial materials are provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement. Indicative pricing on the site is not an offer.

8. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, except for breaches of confidentiality, indemnities, or liability that cannot be limited by law. Aggregate liability for the site alone (without a paid agreement) is limited to one hundred dollars (USD) or the maximum allowed by law, whichever is greater.

9. Indemnity

You will defend and indemnify DineNodo against third-party claims arising from your content, your breach of these Terms, or your misuse of the services, subject to customary carve-outs.

10. Termination

We may suspend or terminate access for material breach or risk to security. Provisions that by nature should survive will survive.

11. Governing law and disputes

Unless your agreement states otherwise, these Terms are governed by the laws designated in your master agreement, without regard to conflict-of-law rules. Courts in that jurisdiction have exclusive venue, subject to mandatory consumer protections where applicable.
